General Terms and Conditions

MOTIVE COWORKING MEMBERSHIP AGREEMENT This agreement is made between:

You

  1. Welcome to Motive Motive Coworking’s purpose is to create a community with a common set of values of everyday people that drives a culture of belonging, support, innovation/resources, and lifestyle. We endeavor to offer more than just a desk at a coworking space, by connecting like-minded people who are passionate about their career and community by redefining what a traditional coworking space means.

No one likes reading long documents, so we’ve split this agreement into the following parts, all of which you are expected to read, confirm you understand, sign and date prior to the commencement of your membership: The contractual terms and conditions between us; Appendix A which is a summary of the services that are provided by Motive to Members; and Appendix B which sets out the responsibilities of Motive Members.
Motive Representatives are a positive, solution orientated bunch of people, so if there is anything that you don’t understand about this document, or you need to talk about an issue relating to working at Motive premises and the use of our equipment, please let us know and we will have a chat and try to fix anything that needs to be resolved.

  1. Motive and Money – Membership Fees etc. Here at Motive, we support local charities and the community, but we are a business, not a charity, so you will receive all the benefits of membership if you pay your monthly invoice, but if you stop paying, or are terminated as a Member, those benefits will end and your Security Access Pass won’t work anymore.

We will try to accommodate all reasonable requests for membership options and hiring of Motive premises space, taking into account the current and proposed commitments to other Members. No one likes surprises when it comes to invoices, so have a chat to a Motive Representative before you sign this agreement to ensure you are clear about how much you will be charged and how often.

The monthly membership fees for each of the options above will change from time to time and an updated spreadsheet showing the current fees is always available for Motive Members in the Motive premises, on our website and from the Motive Representatives. If you want to change your membership type from time to time, let a Motive Representative know and we will try to arrange it for you, subject to the requirements of other Members and available office space etc.

All members are invoiced on a monthly basis and you are responsible to pay the invoice on time each month, unless other arrangements have been entered into, such as invoicing a company that you operate. Motive is not responsible for any tax deductions relating to membership or hiring of meeting rooms, or space at Motive premises, however, we can provide a copy of invoices at the end of each financial year for you to meet your tax obligations to the ATO.

Paying for Your Membership Here at Motive, we understand that our Members are an entrepreneurial and creative bunch of people, so we offer a range of options for you to pay us: Payment by debit or credit card; or Payment by direct debit from an Australian bank or other financial institution.

Please note that for security reasons we will enter your debit card, credit card, or banking details onto our secure IT systems and this information will only be available to Motive Representatives for the purposes of managing accounts for members and sending invoices. It is your responsibility to ensure that you are authorized to use the debit card, credit card, or bank account that you provide us for the payment of membership fees. For example, if the account is a joint account, you must ensure that the other account holder has consented to Motive fees being deducted from the account.

If you elect to pay via direct debit, you are required to maintain sufficient money in your bank account to pay the fees agreed with Motive and to inform us promptly of any changes to the account. If you elect to pay via credit card, you are required to inform us promptly of any changes to your credit card information and must ensure that you replace such credit card and update relevant information prior to its expiration date.

Please note that Membership fees will be charged on the first business day of each month unless we have agreed a different date.

Please note that Motive cannot accept cash payments. Please note that once membership fees are paid, we generally will not issue any refunds, unless there are exceptional circumstances and a Motive Representative agrees to refund all or part of fees already paid.

If we have not received a monthly payment from you, we will send a non-payment notice around 10 business days after the due date of payment and we reserve the right to charge a late fee penalty up to 10% of the fee that is outstanding.

If we are unable to receive payment from you for any reason for more than 15 business days after membership, or other fees are due, we may unfortunately need to terminate your membership and use of your Security Access Pass. Rest assured that a Motive Representative will contact you before taking this step to see if we can find a mutually acceptable arrangement for ongoing payment.

If you work as an employee for an employer, you are expected to comply with all relevant policies, procedures, codes of conduct, safety guidelines, IT security and privacy/confidentiality provisions of your employer when working in the Motive office premises.

  1. Motive and Medical Matters and Health/Safety etc. Here at Motive, we like everyone to be safe, Motive Representatives have nightmares about Members and their visitors tripping over power cords, overloading power sockets, tripping down the stairs with hot coffee and toilet accidents! We don’t like having those nightmares, so we have done everything we reasonably can to ensure that everyone is safe when entering and using Motive premises. However Motive Members are reasonable to take reasonable steps to ensure their own safety and the safety of others, particularly regarding any equipment that you bring into our premises. If you are unsure about safe working practices, have a chat to a Motive Representative and we will tell you what we expect when using our premises and equipment.

If you see or experience an injury, hazard or near miss or notice anything you consider may create a risk to the health and safety of Members, or anyone else, you must immediately notify a Motive Representative by contacting them at team@motivecoworking.com or 02 9159 0658

It is your responsibility to ensure they you do not leave any objects including furniture, equipment or rubbish that will obstruct walkways, common areas and the stairway. Any of these objects blocking access will be moved or disposed of as appropriate.

A first aid kit is located under the kitchen desk on the ground floor. Motive representatives are trained in First Aid and in the event that the first aid incident is anything other than minor, Motive representatives may call the relevant emergency services and your next of kin

Please ensure that any spillages are cleaned up in an efficient and timely manner to ensure no harm is caused by the spillage. If additional cleaning is needed, contact: team@motivecoworking.com or phone these numbers to report the matter to a Motive Representative. Motive Number 02 9159 0658 Jack Mooney 0421 705 408 Perry Murace 0450 956 407 Smoking is not permitted at any time: ● Within 20 metres of Motive Coworking. ● Anywhere the smoke may find its way back into our building or neighbouring building. From time to Motive may conduct evacuation drills so as to ensure procedures are in place in case of an emergency. Fire wardens are trained to assist with these drills and all users of the Co-working Space must fully cooperate and comply with all directions from the fire warden.

Fire extinguishers are located at the rear door. Floor plan/evacuation signs are located next or above to all fire exits. Fire warden(s) for the building are: Complete FIRE Certification 0450 921 230

Upon a building evacuation being ordered, all members, visitors and staff should move to the muster point. The muster point is usually located at the end of the dead end on Daydream Street towards Mona Vale Road. However, for your safety, the muster point may change depending on the circumstances e.g. if the area of danger is at Mona Vale road, or if instructed by emergency services that an alternative muster point should be used.

Compliance with COVID-19 Public Health Orders Members and their visitors are not permitted to attend Motive premises if they have COVID-19 symptoms, if they are awaiting test results, or if they have tested positive and are required to isolate.

All members must comply with relevant Federal and NSW issued Public Health Orders issued during the course of their membership with Motive. Members are responsible to keep updated on applicable Public Health Orders including those relating to: Using the QR Code to check in to Motive premises; Using the hand sanitizer provided, or any other hand sanitizer, on entry to Motive premises and at regular intervals e.g. before handling food;

Maintaining physical distancing; Wearing a mask; and Providing evidence of vaccination status, if required. Please note that Motive has a COVID-19 Workplace Safety Plan (Safety Plan) which is updated from time to time, in accordance with Public Health Orders and the requirements of the owners of the Motive premises.

This Safety Plan is intended to ensure a COVID safe environment at Motive premises for the benefit of members, Motive representatives and visitors. A copy of the latest COVID-19 Safety Plan is available for members at the Motive premises, or on request to a Motive representative by asking for a copy, or by emailing: team@motivecoworking.com

  1. Motive and Motors Here at Motive, we enjoy getting along with our landlord and our neighbours in Daydream Street. So please ensure that you and your visitors only park in the car spaces with a number 7 & 8, or designated for visitors or on Daydream Street.

  2. Motive and Meeting Rooms No one likes a hog, so Motive Members are expected to only use meeting rooms if they have made a booking. Your Motive Membership entitles you to an amount of meeting room access indicated by your relevant subscription. Please consult the Motive Representatives regarding what meeting rooms are available. Generally, there is room for Members in the phone booths without booking.

  3. Motive and Printers Again, no one likes a hog, so Motive Members are expected to share the use of the available printers. We all need to do our bit to save the planet, so please print out double sided using only black and white option, rather than colour if possible. We all know the price of print cartridges! If you run out of paper, the printer is jammed, or you are having other hassles with printers please let a Motive Representative know immediately. We can’t fix it if we don’t know that it is broken!

  4. Motive and Internet Connection/Use Here at Motive, we are committed to doing everything we can to ensure that Motive Members and Motive Representatives have a strong and secure internet connection at all times. But occasionally, for unexpected reasons and reasons out of our control, the internet connection may be temporarily unavailable. If this is the case, we can’t fix it unless we know about it, so you should immediately inform a Motive Representative that you cannot access our internet and we will trouble shoot a solution for you. Generally, we can get you connected back to the internet reasonably quickly and if it takes more than an hour to reconnect we will let you know the problem e.g. Telstra may have an outage in the area and we will get in contact with them to find out how long it will take for the internet connection to be restored.

You are prohibited from using the Motive internet connection to access any websites or other online services and materials that are illegal, such as websites relating to terrorism and other criminal activities such as drug trafficking, pornography, child abuse etc.

  1. Motive and Security Access Passes You are responsible for keeping your Security Access Pass safe at all times and must not share it or lend it to any other person. Your Security Access Pass only allows access to you as a Motive Member and you must not allow anyone to tailgate you into our premises. If you lose your Security Access Pass, or it no longer works, you must tell a Motive Representative immediately so we can take the appropriate steps to fix the problem. Please note that we monitor how many times you use your Security Access Pass to ensure that it aligns with the type of membership package you have selected and are paying for on a monthly basis.

  2. Motive and Munching/Moet (everything to do with food, drink and our kitchen) No one likes smelly fish smells at the desk next to them when they are working and nobody likes opening the fridge to an obnoxious and mysterious decaying substance. So don’t let the culprit be you and show consideration to other Members and Motive Representatives when you eat and drink in our premises and clean up after yourself. On the positive side, if you are great at baking cookies, or simply have some extra muffins or chocolate to share, it will be gratefully accepted.

  3. Motive and Out of Hours Access Our 24 hour access for seven days of the week here at Motive allows members to work when it suits them to meet deadlines and juggle other commitments such as family responsibilities. However, the Motive premises must not be used for your late night parties or romantic encounters. We have strict lease conditions with our landlord and this requires all Motive Members to act responsibly when attending our premises, whether or not other Members or Motive Representatives are also at the Motive premises. You are responsible to take appropriate measures if you are using Motive premises out of normal office hours, such as checking that the front security door closes fully behind you when you arrive and leave and turning off any electrical equipment that you use when you are at our premises when you have finished using it.

  4. Motive and Visitors Here at Motive we need to know who is coming and going in addition to our Members as we have responsibilities regarding who attends our premises and we like to keep axe murderers away for the safety of all of us. If you want to invite a visitor to Motive premises, please tell a Motive Representatives who will be attending and for how long. You are responsible for your visitors when they are in Motive premises and you must clean up and pay for any damages to equipment, or mess they cause. Visitors are only allowed in the Motive premises if accompanied by one or more current Members.

  5. Motive and Minors (anyone under 18) Here at Motive we understand that you may occasionally need to bring kids to our premises. Most Members come to our premises to work, get some quiet time, meet deadlines etc. So it is important that your kids are supervised by you at all times when they attend our premises and that you provide them with something to occupy themselves quietly. Kids are not allowed to use the kitchen facilities such as kettles and toasters unless they are old enough and responsible enough to do so and with your supervision. Kids are not allowed to use our printers, computers or other office facilities without prior approval from a Motive representative. If your kids are disrupting other Members or Motive representatives with their noise, mess or behaviour, we may need to ask you to remove them from our premises. You are responsible to clean up and pay for any damages to equipment, or mess caused by your kids.

  6. Motive and Mammals/Monsters/Pets If you want to bring your goldfish in a glass bowl on your desk as an emotional support pet while you work, that’s generally fine. It’s a different matter if you want to bring your aggressive pit bull terrier with a habit of biting everyone. As with everything here at Motive, whatever is reasonable for other Members and Motive Representatives is generally OK. So if you want to bring your pet to our premises, ask a Motive Representative first i.e. before Fido attends our premises and we will find out what sort of pet it is and whether it would be suitable in our premises. You are responsible for your pet at all times and must actively supervise them when they are in our premises. If pets are disrupting other Members or Motive Representatives with their noise, mess or behaviour, we may need to ask you to remove them from our premises. You are responsible to clean up and pay for any damages to equipment, or mess caused by your pets.

  7. Motive and Mandatory Obligations/Termination Here at Motive we do not tolerate any act, omission or behaviour that is criminal in nature or is likely to endanger, or cause harm to Motive Members, Motive Representatives, visitors, our landlord and/or our premises and equipment. We will terminate your membership immediately if we become aware that you are rude or abusive to other people attending Motive premises, of if you have deliberately, or negligently breached laws, Public Health Orders, and other regulations intended to protect people from criminal acts and the prevention of harm to others.

  8. Motive and Media/Feedback We like to hear what we are doing right and what improvements we can make. We love to receive positive testimonials and if you have any grumbles about the lack of chocolate biscuits in the kitchen or anything else, please let us know and we will try to fix it. Bear in mind that most Members come here to work, so if you are blaring ACDC at full volume on your Boombox and they give you an angry look, you should put your headphones on and ensure that other Members can work in peace.

  9. Motive and Merryment All work and no play makes Jack (and Perry) a dull boy, so socialising between Members and events like Friday BBQs are great fun to spice up the work day. But all Members are responsible for their own conduct at these events and must comply with all relevant laws.

  12. Motive and Mail Subject to availability, you may elect to receive mail and packages at the premise. If you have done so, we will accept mail and deliveries on your behalf during such Premises Regular Business Hours on such Premises Regular Business Days. We have no obligation to store such mail or packages for more than thirty (30) days of our receipt or if we receive mail or packages after you terminate your Motive Membership. This feature is meant to allow you to accept business correspondence from time to time. It is not meant for an address for the receipt of merchandise or personal goods. As such, we have no obligation to accept bulk or oversized mail or packages.

  13. Motive Community and Culture If you can remember as far back as clause 1 in this agreement, you will understand the nature of Motive’s coworking community. Appendix A: Motive services

  • Non-exclusive access to the Office Space
  • Regular Maintenance of the Office Space, consistent with maintenance provided that we will not be responsible for damage exceeding normal wear and tear.
  • Quality and quantity of furnishings in Office Space as applicable
  • Access to the Motive Coworking shared internet service
  • Use of printers, copiers and/or scanners made publicly available in the premise.
  • Use of meeting rooms and phone booths subject to members relevant subscriptions.
  • Heat and Air conditioning in the spaces provided during operating hours

To ensure a safe and healthy environment for everyone, Motive will take responsibility for: ● The safe use and storage of its own and provided equipment including laptops, desks, chairs, chargers, computer monitors, and other equipment used in the building ● Ensuring that walkways, common areas or neighbouring desks are not obstructed ● Ensuring the building is kept secure. ● Complying with any insurance, sprinkler and fire alarm regulations.

Appendix B Member Responsibilities, Code of Conduct and Behaviour in Motive premises

In general, we expect that you will not perform any activity that is, or is reasonably likely to be criminal or unlawful in nature, or disruptive, damaging or dangerous to Members, Motive Representatives and visitors to Motive premises. You agree not to use the Motive premises for any purpose that is unlawful, prohibited, or that could damage, disable or impair the property of Motive, or Members, or that would damage the reputation or business of Motive. You also agree not to use Motive premises in connection with: (a) Lottery contests, pyramid schemes, chain letters, junk email, spamming or similar behaviour; (b) Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others; (c) Posting, distributing or disseminating unlawful, discriminatory, inappropriate, profane, defamatory, obscene or indecent information and materials; (d) Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which is illegal or breaches intellectual property laws; and (e) Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of the Co-Working Space or another member. Members are responsible for their own safety and the safety of anyone that they bring into the Motive premises. It is you responsibility to observe safe systems of work and to practice safe behaviour, to protect yourself and ensure the safety of others. This includes using Motive premises and equipment and your property safely, for the purpose it was intended for, and with a reasonable amount of care.
